The ECB has received a query from a member who suggested that because potentially more interest income could be earned by investing the premium for the land lease, it may be preferable to renew the lease at the end of the remaining 10-year period.

The decision to proceed with the renewal now is due to a combination of factors of which the land premium is just one of them.

While the interest rates are still at the higher-end for now, we have started to see a decline in the interest rates from the banks to T-bills and bonds since the start of the year. It would not be fair to assume that the interest rates will remain high and at the current rates for the next 10 years. We should also be mindful of any further economic or environmental factors (e.g. COVID-like situation) could further derail investment returns’ assumptions. By all accounts in the news, the interest rates could be down trending further when the US Federal Reserve cuts their interest rates.

#1: Beyond Financial Reasons: Ensuring a well-functioning Grace@BukitBatok

Beyond just the financial return from investments, ECB has to balance the decision on the renewal with other considerations such as the ailing Mechanical and Electrical Systems, growing attendance and future plans for Grace@BukitBatok as well as the current favourable conditions and interactions with the authorities.

Members attending Grace@BukitBatok have provided feedback that the air conditioning in Sanctuary is not cold. The replacement costs for individual Mechanical and Electrical Systems in Grace@BukitBatok will cost upwards of S$300K per system. The systems we are looking into include the central air-conditioning, electrical switchboards, lift systems and other equipment renewals. These are heavy capital expenditures that have a longer lifespan of 15 to 20 years. Without the certainty of our lease renewal, we would potentially lose the remaining 5 to 10 years’ lifespan of these systems, should our lease not be renewed in 2034. The ECB estimates a minimum of S$2 to S$3 million will be needed for the systems upkeep of Grace@BukitBatok should the lease not be renewed now. When we factored in this sum for replacement, it will negate any potential interest income earned.

#2: Beyond Financial Reasons: Seizing the favourable framework today

The Revised Land Allocation and Pricing Framework for Place of Worship released in May 2023, was a welcomed change from the previous Tender Framework for Place of Worship put in place in September 2018.  ECB is of the opinion that the conditions under the new framework will work in favour of the Church. The land pricing determined by the Chief Valuer will be priced at fair market value which is at about 47% less than under the previous tender bidding system. This information was reported by Straits Times on 19 December 2023. Furthermore, in the most recent update by Senior Pastor over the weekend of 4th and 5th May, he has also updated members that the Singapore Land Authority (SLA) has given us a notice on 3rd May that SLA is in-principle recommending to the President to approve a fresh 30-year lease from the date of our legal acceptance. The premium on the lease will also take into account the unexpired portion of our existing lease and the assessed value of the unexpired residue of the existing leasehold tenure will be deducted from the premium. We are thankful for the positive interactions with SLA thus far, and we would want to act under the favourable circumstances before another change in the framework. Additionally, the market value for the land will likely go up over the next 10 years in land scarce Singapore.

#3: Beyond Financial Reasons: Opportunities to serve Tengah Estate

The attendance in Grace@BukitBatok has seen steady growth since our resumption post-Covid in 2022, with weekly attendance in the range of 1,200 to 1,300 across all services and ministries. The ECB sees the purpose and potential of Grace@BukitBatok in being a beacon in the west community, extending to the new residents in the Tengah estate. The forested land that is across the road from Grace@BukitBatok is now filled with housing blocks which will be occupied by 42,000 households.

The ECB is taking a longer-term view to prepare ahead for the impending needs at Grace@BukitBatok – to create more community spaces for the young and old on weekdays and to meet the needs of young families and elderly. Before we commit to the possibly extensive renovation works on refreshing Grace@BukitBatok, we want to be certain of the runway that we have there. If we are to carry out any works with just the remaining 10 years, it would only be stop gap measures and we may miss out on the purposes that God has placed us in Bukit Batok for and still be required to spend about S$2 to S$3 million conservatively for basic replacements needed. The ECB is looking ahead to enhance our presence in Bukit Batok to reach the new residents and build stronger ties with those already in the community.

ECB has been mindful of being good stewards of the financial resources that God has blessed Grace Assembly with. Given the information available to us presently, as listed below, ECB maintains that the renewal of land lease at Grace@BukitBatok at this time is in the best interest of the Church and asks for the members to be onboard with us.

Considerations:

  • Potential down trend of interest rates.
  • Ailing Mechanical and Electrical Systems in need of replacement with an estimated minimum spend of S$2 to S$3 million for basic replacements.
  • Expected lower premium under the new pricing framework.
  • SLA will offset the remaining leasehold tenure from the premium.
  • Reach to new and younger households in upcoming Tengah estate.
  • Growing congregation and changing needs of the elderly and young families at Grace@BukitBatok.

Are we paying $10M for another 10 years on Grace@BukitBatok land lease? What about the 10 years that we have already paid for on the current lease? 我们是否要支付$1000万来延长恩典堂@武吉巴督土地的租约10年? 那么我们已经支付的当前租约的10年租金呢?

The amount of $10M for the renewal of the Grace@BukitBatok land lease that the Executive Church Board (ECB) is asking for, is the upper limit to cater for any length of lease duration between 20 to 30 years (from the year of renewal) that the Singapore Land Authority (SLA) may offer to the Church. The amount is the upper limit meant to meet a 30-year lease offer. Correspondingly, if the lease duration offered by SLA is 20 years (from the year of renewal), the amount should be substantially less than $10M based on the new Revised Land Allocation and Pricing Framework for Place of Worship released by the government last year.

Under the new Revised Land Allocation and Pricing Framework for Place of Worship, the lease renewal premium is determined by the Chief Valuer at fair market value with adjustments made to the price based on site specific factors such as location and the remaining lease tenure. Based on press releases, the average rate paid by religious organisations which have successfully renewed their leases under the new framework, were at about 47% less than the previous tender bidding system.

The Chief Valuer will consider the 10 years lease that we have left at Grace@BukitBatok and adjust the premium accordingly. We will not lose the current 10 years of lease that is left and have been paid.

While the ECB and staff are praying to be granted an offer for 30 years (from the year of renewal), we are prepared to consider any offer of at least 20 years (from the year of renewal) at a reasonable premium. The amount of $10M that is tabled for the 63rd Annual Business Meeting is a safe upper limit estimate to allow for the ECB to assess any offer in the range of 20 to 30 years (from the year of renewal).

How will the Executive Church Board (ECB) assess the offer from the Singapore Land Authority (SLA)? 教会执事会(ECB)将如何评估新加坡土地管理局(SLA)的报价?

The resolution for the renewal of Grace@BukitBatok land lease empowers the ECB to evaluate and accept the offer if it does not exceed $10M and at least 20 years from the year of renewal.

Following the tabling of the present resolution, a recent published report in April on HDB (Housing and Development Board) land sales shows that a church was awarded a land lease of 30 years at under $5M for a new site at Jalan Kayu under the new framework.  This is presently the only known publication of pricing under the new framework. The ECB will be using this recent report as an indicative guide for evaluating the offer when it is made to us. The ECB will endeavour to carefully evaluate the offer to ensure that it is of fair market value and of  good value to the Church.

The ECB may as such reject the offer, if it is assessed that any offer is not of fair value.  We want to be good stewards of the Church’s resources which is why this recent report is being highlighted.

What will happen to the Mechanical and Electrical Systems in Grace@BukitBatok if we are not successful in renewing our lease? 如果我们未能成功更新恩典堂@武吉巴督的土地租赁,会如何处理机械和电气系统?

The existing Mechanical and Electrical (M&E) Systems can be overhauled to extend their useful life, to a limit. For example, overhaul to the chiller (central air-conditioning plant) could cost upwards of $100k. When it is no longer possible to overhaul the equipment, the only recourse would be to have the system replaced. Typical chiller replacement costs of the size in Grace@BukitBatok will be upwards of $300k before design works and professional engineer endorsements.  This same concept applies to Air Handling Units, Electrical Switchboards, lifts and escalators etc, each with their respective costs. When an overhaul is no longer feasible, we will still need to face the decision to selectively change out the M&E system. The church will evaluate each of these decisions judiciously to lower the overall cost commitments in due course.

Grace Assembly has built its presence in Bukit Batok for the last 20 years and is home to more than a thousand regular Gracians. We have also established strong links with the local community through partnership with grassroots associations, REACH Community Services and Grace House Kindergarten.

With the ongoing development of the Tengah estate, we believe that God has strategically positioned Grace@BukitBatok to welcome more visitors and to reach out to more people in the community. We want to continue to be the salt and light in the west side of Singapore.

Why are we renewing the lease now? Why not wait till the lease runs out? 为什么我们现在就要续租租约? 为什么不等到租约到期再决定?

With the release of the Revised Land Allocation and Pricing Framework for Place of Worship in May 2023, we can now apply to renew our lease for Grace@BukitBatok in advance and at a potentially lower cost. The revised framework prices the site at the fair market value pre-determined by the Chief Valuer and is expected to be lower than the previous tendering system. According to MND, the average rate paid by religious organisations which have renewed their lease is approximately 47% less under the new revised framework. For lease renewals, Grace AG can proceed directly with the renewal procedures without having to go through a ballot.

The ECB posits that we are at a favourable juncture where we can converge our plans on renewing the lease on Grace@BukitBatok and the plans for its refresh. We hope to extend the foreseeable runway and have surety of the lease duration, before carrying out any major works to refresh Grace@BukitBatok. With the certainty of the duration, we can then plan and invest to do more extensive works at Grace@BukitBatok such as reconfiguring our premises for more flexibity in multi-usage, and replacing the mechanical & electrical systems which typically has a 15-to-20-year lifespan. The market value for the site at this point would also likely be lower than 10 years later when the estate becomes more mature.

The ECB and pastoral team hopes to see Grace@BukitBatok being used as a vibrant community hub not just for weekends but for weekdays too. The plans for the refresh of Grace@BukitBatok will be tabled at subsequent ABM, subject to the extension on the lease renewal.

Appointment of New Trustee 任命新的受托人

What is a trustee? 什么是受托人?

Trustees are ordinary members who hold the properties for the Church. As a registered society, Grace Assembly of God (Grace AG) is not a legal entity separate from its members. As such, it cannot hold real estate in its registered name but must do so through trustees.

受托人是担任教会财产持有人的普通会友。作为一个注册社团,神召会恩典堂(恩典堂)不是一个独立于其会友的法律实体。因此,它不能以其注册名称持有房地产,而必须通过受托人持有。

What is the role of trustees? 受托人的职责是什么?

Article 17 of the Constitution lays out the rules for trusteeship for Grace AG. Trustees are Ordinary Members proposed by ECB and accepted by a simple majority at a Business Meeting. Properties acquired by the Church shall be vested in four trustees subject to a declaration of trust.

Trustees appointed by the members of the Church are to hold the properties for the Church and for the use, purposes and benefit of the Church in accordance with the Church’s Constitution, rules and bye laws. Their duty is to convey on transferring the trust properties to persons entitled to hold it when required to do so. The Trustees do not have any discretion to deal with the properties unless instructed by the members of the Church, through a resolution passed
at a duly convened Business Meeting.

Upon resignation of a trustee, the new trustee will be proposed the Executive Church Board at an Annual Business Meeting and accepted by a simple majority.

The purpose for a Townhall was to engage members in further explanation and clarification on resolutions prior to the deadline for proxy submission. To save members the time on an additional physical Tonwhall meeting, we are using a different method by releasing a video to explain the resolution this year. The option to email your questions and have them responded to, prior to the close for proxy submission remains available. You can submit your questions to abm@graceaog.org, and we will respond to them by 10 May 2024.

Why is the ABM held onsite this year? 为什么今年举行现场ABM?

While the amendments made in the Constitution has made provisions for the options to vote and conduct ABM by means of online, proxy or onsite, ECB has heard the feedback from some members who desire an onsite ABM. However, considering that we are a multi-generational church, we are offering two voting options to members and holding an onsite ABM this year, for more flexibilty and to encourage greater participation in ABM.

At the onsite ABM, members who have yet to vote will be eligible to do so upon registration. While members who have voted by proxy will be welcomed as observers.

In tandem with trends in corporate Annual General Meetings, and the provision of voting by proxy for those who are unable to attend the onsite ABM, it will be hard to predict the actual turn out for the onsite ABM. In order to steward resources responsibly and avoid wastage of food, we have decided not to cater dinner for ABM.

Registration will close by 7.45pm for ABM to begin at 8.00pm. Latecomers will not be eligible to vote and can only attend the ABM as observers. We have engaged a solutions provider specialising in general meetings, for our onsite live voting on 17 May 2024. You will be issued a QR code with unique login details upon registration. You can then login with your mobile phones/tablets and vote live at each resolution through the vendor’s platform.

Absolutely. We understand that it may be challenging for members to attend onsite ABM physically on a workday night. For your convenience, proxy voting continues to be available, if you are unable to attend the onsite ABM. By completing and endorsing on the proxy form, either digitally or hardcopy, voting members are able to exercise their rights by appointing the Chairman as proxy to represent them at the ABM on 17 May 2024, even if they are unable to attend the session themselves.

Voting members who wish to change their votes after submitting their proxy forms, may submit another proxy form, before 13 May 2024, 11.59pm.

The latter proxy form, if it is valid, will supersede the voting member’s earlier submission, and will be accounted for quorum. The earlier proxy form submitted by the same voting member will then be made void.

Selected staff are authorised to access the proxy forms that come in electronically or hand delivered. Hardcopies will be kept secured.

Each of these authorised staff has signed a non-disclosure agreement to keep the contents in the proxy forms received, confidential.

Authorised staff will only check for the validity of the proxy forms i.e. to ensure they are duly completed and signed, upon receipt. Proxy forms that are incomplete, improperly completed or illegible, or where the true intentions of the registered member to whom the form is addressed to, are not ascertainable from the instructions specified in the proxy form, will be rejected.

Only valid proxy forms will be included to account for quorum. Votes are not counted at this point.

Proxy forms received via email are printed out and checked for validity. All valid proxy forms will be kept in a sealed box. The sealed box will only be opened for the purpose of data entry by selected staff after the submission deadline on 13 May 2024.

The final tabulation of votes, both proxy and live voting will be done by a team, in the presence of the Returning Officer and two Scrutineers. All handling of proxy forms and votes will be conducted in a room that is under surveillance of security cameras.

Everyone involved in the data entry and counting of votes will be required to sign a non-disclosure agreement to keep the contents in the proxy forms received and the vote counting proceeding and results, confidential.
